End-User License Agreement (EULA)

This EULA is a legal agreement between you and FactuLingua™ (“we”, “us”). By installing or using the FactuLingua desktop or mobile applications and related services (the “Software”), you agree to these terms.

1. License Grant

We grant you a revocable, non-exclusive, non-transferable, limited license to install and use the Software for your business or personal use during an active subscription and in accordance with this EULA.

2. Account and Subscription

• Some features require an active paid subscription managed via Stripe or PayPal.
• Plan features and usage limits are enforced server-side; attempts to bypass them are prohibited.

3. Restrictions

• No copying, sublicensing, resale, rental, hosting, or distribution of the Software.
• No reverse engineering, decompiling, or modification except where law permits despite this restriction.
• No use to build a competing product or to violate laws or third-party rights.

4. AI Features

• AI responses are generated through approved providers and are supplied “as is”.
• You are responsible for verifying outputs before use. Do not submit unlawful or sensitive personal data.

5. Third-Party Services

The Software integrates with payment processors (Stripe, PayPal) and AI providers. Their terms apply in addition to this EULA.

6. Updates

We may provide updates, fixes, or feature changes. Some updates may be required to continue using the Software.

7. Ownership

8. Termination

• We may suspend or terminate access for breach, fraud, or misuse.
• Upon termination, you must cease all use and uninstall the Software.

9. Disclaimer

THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability is limited to the fees paid during the three (3) months preceding the claim.

11. Export and Compliance

You must comply with all applicable export-control, sanctions, and compliance regulations.

12. Governing Law

This agreement is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
