End-User License Agreement (EULA)

This EULA is a legal agreement between you and FactuLingua™ (“we”, “us”, “our”). By installing, accessing or using the FactuLingua desktop, mobile applications or related cloud services (the “Software”), you agree to be bound by this EULA.

1. License Grant

We grant you a revocable, non-exclusive, non-transferable license to install and use the Software for your personal or business activities, subject to an active subscription (if required) and compliance with this EULA.

2. Account and Subscription

Some features require an active paid subscription handled through Stripe or PayPal.
Usage limits (documents, emails, AI queries) are enforced server-side.
Attempts to bypass subscriptions, limits, or account controls are prohibited.

3. Restrictions

You may not copy, modify, distribute, sell, rent or sublicense the Software.
You may not reverse engineer, decompile or disassemble the Software except where required by law.
You may not use the Software to build or assist a competing product.
You are responsible for compliance with all applicable laws when using the Software.

4. AI Features

AI-generated outputs are provided “as is” without guarantee of accuracy or completeness.
You must review AI suggestions before using them in quotes, invoices or other documents.
Do not submit sensitive personal data, unlawful content or confidential third-party information to AI features.

5. Third-Party Services

The Software integrates with third-party services such as payment processors (Stripe, PayPal) and AI providers. Their own terms apply in addition to this EULA.

6. Updates

We may release updates, improvements, bug fixes or changes. Some updates may be required to continue using the Software or ensure correct integration with the cloud backend.

We may suspend or terminate access in cases of fraud, abuse or violation of this EULA.
Upon termination, you must stop using the Software and uninstall all copies.

9. Disclaimer

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. YOU USE IT AT YOUR OWN RISK.

10. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages. Our total liability is limited to the fees paid by you during the three (3) months immediately preceding the claim.

11. Compliance and Export Control

You must comply with all applicable local laws, regulatory requirements and export control rules when accessing or using the Software.

12. Governing Law

This EULA is governed by the laws of England and Wales. Any disputes shall be resolved exclusively in the courts of England and Wales.
