End-User License Agreement (EULA)

This End-User License Agreement (“EULA”) is a legal agreement between you and FactuLingua™ (“FactuLingua”, “we”, “us”, “our”) governing your installation, access to, and use of the FactuLingua software, including our desktop application, web application interfaces where applicable, Android application, related updates, related content, and connected cloud functionality.

By downloading, installing, accessing, or using FactuLingua, you agree to this EULA. If you do not agree, you must not install, access, or use the software.

1. Scope of this EULA

This EULA applies to the FactuLingua software and related product components made available by us, including:

  • the FactuLingua desktop application;
  • the FactuLingua Android application;
  • the FactuLingua web application to the extent software functionality is made available through it;
  • software updates, patches, fixes, upgrades, releases, and related technical components;
  • connected cloud functionality, account access, synchronisation, entitlement checks, and server-side features used by the software.

This EULA does not replace our Terms of Service, Subscription Terms, or Privacy Policy. Those documents also apply where relevant.

2. Licence grant

Subject to this EULA, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to install, access, and use FactuLingua solely for your own internal business, administrative, or personal lawful use.

This licence is granted, not sold, and gives you only the limited rights expressly stated in this EULA.

3. Ownership and intellectual property

FactuLingua is licensed, not sold. We and our licensors retain all right, title, and interest in and to the software and all related intellectual property rights.

Without limitation, all of the following are owned by us or licensed to us and are protected by applicable intellectual property laws:

  • the FactuLingua™ name, branding, and product identity;
  • all logos, icons, interface elements, graphics, layouts, images, visual assets, and design elements;
  • all source code, compiled code, software structure, features, databases, and technical components;
  • all documentation, release materials, product text, and related software content.

Except where expressly permitted by us in writing, you obtain no ownership rights and no right to exploit any of our branding, trade marks, product names, logos, graphics, icons, screenshots, images, or other protected materials.

4. Trade marks and brand use

FactuLingua™ is our trade mark and brand identifier. Any unauthorised use of the FactuLingua name, logos, product branding, icons, visual identity, screenshots, or confusingly similar branding is prohibited.

You must not:

  • use our name, logos, or branding in a way that suggests partnership, endorsement, affiliation, or authorship without our prior written permission;
  • copy or reuse our icons, images, product visuals, screenshots, or branding materials for resale, redistribution, or competing services;
  • remove, obscure, alter, or replace copyright, trade mark, attribution, or proprietary notices;
  • register, use, or attempt to use names, domains, branding, or visual identifiers that are confusingly similar to FactuLingua.

5. Restrictions

You must not, except where applicable law expressly permits otherwise:

  • copy, reproduce, republish, distribute, resell, lease, rent, sublicense, or commercially exploit the software;
  • modify, adapt, translate, create derivative works from, or otherwise alter the software or any part of it;
  • reverse engineer, decompile, disassemble, decode, attempt to derive source code from, or otherwise analyse the software beyond what the law cannot validly restrict;
  • bypass, disable, interfere with, or tamper with licensing, entitlement, authentication, subscription, or security mechanisms;
  • remove, alter, or conceal proprietary notices, branding, legal notices, or ownership markings;
  • use the software to build, support, benchmark for publication, or assist a competing product in a way that unlawfully exploits our software or materials;
  • use the software for unlawful, fraudulent, abusive, misleading, or infringing purposes.

6. Accounts and connected services

Some features of FactuLingua depend on internet access, user authentication, server-side processing, connected cloud services, subscriptions, or entitlement checks.

We may suspend, restrict, or disable some features where reasonably necessary for:

  • security or fraud prevention;
  • service maintenance or updates;
  • subscription or entitlement enforcement;
  • breach of this EULA or related legal terms;
  • compliance with legal or regulatory obligations.

7. Updates, patches, and changes

We may provide updates, upgrades, patches, bug fixes, security releases, compatibility releases, or changes to functionality. Some updates may be necessary for continued operation, legal compliance, security, billing compatibility, or platform support.

We do not guarantee that older versions will remain supported indefinitely.

8. Payments and subscriptions

Some FactuLingua features require a paid subscription or paid entitlement.

  • Web and Desktop: payments and subscriptions are handled through Stripe.
  • Android: payments and subscriptions are handled through Google Play.

Subscription handling, renewal timing, cancellation, billing, refunds, grace periods, store rules, and provider policies may depend on the relevant platform or payment provider.

We do not store full card numbers or CVV codes on our own servers.

9. No unauthorised modification or redistribution

FactuLingua is our proprietary software product. You may not create, distribute, publish, or use modified, repackaged, altered, cracked, patched, white-labelled, or derivative versions of FactuLingua without our prior written consent.

You may not redistribute our installers, binaries, packages, branded files, assets, logos, icons, screenshots, product graphics, or associated software materials except where we expressly allow this in writing.

10. User responsibility

You remain solely responsible for:

  • reviewing and approving your own invoices, quotes, corrections, customer records, and business data;
  • ensuring that the data you enter into the software is accurate and lawful;
  • ensuring that your use of the software complies with applicable accounting, tax, invoicing, consumer, privacy, and business laws.

FactuLingua is a software tool. It does not replace your legal, accounting, tax, or regulatory responsibilities.

11. Termination

This licence terminates automatically if you materially breach this EULA. We may also suspend or terminate access where reasonably necessary for security, fraud prevention, unlawful use, or legal compliance.

Upon termination, you must immediately stop using the software and uninstall or delete all copies in your possession or control, except to the extent retention is required by law.

12. Account deletion and service closure

Where account-based services are used, account deletion may be initiated through the application settings where available or through our published account deletion/contact channels.

Deleting an account does not automatically override billing or store rules imposed by Stripe or Google Play. You may still need to cancel active subscriptions through the relevant billing platform unless the application expressly confirms otherwise.

13. Third-party services

The software may interact with or depend on third-party platforms, services, app stores, operating systems, hosting services, payment services, or network providers. We are not responsible for third-party services outside our reasonable control.

14. Disclaimer

To the fullest extent permitted by law, FactuLingua is provided on an “as is” and “as available” basis.

We do not guarantee uninterrupted availability, error-free operation, or that the software will meet every business, legal, technical, or regulatory requirement in every jurisdiction or scenario.

Nothing in this EULA excludes rights that cannot lawfully be excluded.

15. Limitation of liability

Nothing in this EULA excludes or limits liability where such exclusion or limitation would be unlawful, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

Subject to the paragraph above, to the fullest extent permitted by law:

  • we are not liable for indirect, incidental, consequential, special, or punitive loss or damage;
  • we are not liable for loss of profit, loss of revenue, loss of business, loss of goodwill, loss of data, or business interruption;
  • our total aggregate liability arising out of or in connection with this EULA or the software shall be limited to the amount paid by you to us for the relevant FactuLingua services in the three (3) months immediately preceding the event giving rise to the claim.

16. No waiver

If we delay or fail to enforce any right or provision under this EULA, that does not waive our right to enforce it later.

17. Severability

If any provision of this EULA is found to be unlawful, invalid, or unenforceable, the remaining provisions shall continue in full force so far as legally possible.

18. Entire agreement

This EULA, together with any applicable Terms of Service, Subscription Terms, and Privacy Policy, forms the legal framework governing your use of FactuLingua.

19. Governing law and jurisdiction

This EULA is governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with this EULA, the software, or your use of FactuLingua shall be subject to the exclusive jurisdiction of the courts of England and Wales.
